Board Business Meeting – Zoom 

April 2, 2020 – 6:30 PM

Webber-Camden Neighborhood Organization

DRAFT MINUTES

Board Attendees: Robin L., Anna G., Amy A. (consultant), Brock S., Eric H., Monica C., Kevin A., Sheree B.

6:35 Meeting Called to Order: Robin Lewis, Chair

6:35 Approval of the March Meeting Minutes: Robin 

MOTION: Anna moved to accept the minutes. Seconded. Approved.

6:40 Treasurer’s Report: Brock Schumacher 

IRS asking we send in additional forms, related to employment taxes from 2016, even if though is nothing to report. Brock will contact MN Withholding and MN Unemployment Insurance to get clarity on what is being asked. Brock is taking care of it, but it is dragging out some. Tim B. has requested more 941s, but they have all been been sent–there was just a delay in receiving & processing because of the pandemic. Brock will fax the forms, if needed. 

Reviewed March 2020 Finance Report (emailed to board)

6:50 Executive Director Transition Plan Discussion: Amy Arcand, Robin         

Reviewed Executive Directory Transition Plan, including responsibilities of the Executive Committee and the consultant. The consultant will help with the overall transition process, but focus on managing the hiring committee. 

7:00 Executive Director Search: Amy)

Job has been posted all over, including the MN Council of Nonprofits, Facebook, WCNO website, and all the internet job-posting sites. We will receive applications through April 19th, after which, Amy will review the candidates and pass on a list to the hiring committee. 

BOARD QUESTION: Monica asked how long Amy can continue to be paid. Answer: there is enough budgeted to get through the hiring process as planned, in addition to some training. If we go much into the month of May, we may have to re-evaluate.

BOARD QUESTION: Kevin suggested we wait longer to hire an ED, given the shifting priorities if this quarantine continues. Board discussed, but agreed an ED will be essential in coordinating our response to COVID-19 and keeping a sense of consistency moving forward.

Discussed the responsibilities of the Hiring Task Force. Robin, Kevin, Anna will serve on the task force. Robin will invite the other board members, possibly adding one or two (max) more members.

MOTION: Kevin moved to officially create the Hiring Task force, who are empowered to run the hiring process and select the candidate, pending Executive Committee final approval. Seconded. Approved.

Amy will follow up with the Hiring Task force in the coming days with clear action steps.

7:05 WCNO COVID-19 Response & Committee: Robin & Brock

Brock has heard about the following needs so far: 

–Getting food to people. Grants. Delivery. 

–Housing/rental assistance.

–Checking in with people. Networking. 

–Supporting small businesses

–Providing education/updates

–Providing masks. 

Kevin has handed out 460 surgical masks so far! 

NYT will likely be suggesting that everyone wear homemade masks.

Robin lifted up the need for masks to be correctly made in order to be effective.

–Directory for what’s available in the community. Directory of brick and mortar establishments in the neighborhood. (Include churches on the list.) 

COVID RESPONSE BRAINSTORM
–We will create a WCNO resource list, possibly in the form of a Google Doc. (Eric committed to make the list…ASAP after Easter)
–Resources (curbside meals) available through Patrick Henry High School. –Could we hand out oral thermometers?

7: 40 ACTION STEPS AND FOLLOW-UP

WCNO agreed to purchase a month-to-month Zoom Pro account. (Robin will purchase through WCNO credit card)

Once Zoom is set up, we will schedule the next COVID meeting and invite community members to join!

Eric will type up the notes from ED exit interview and send to Executive Committee (and print a copy for the office). 

Kevin reminded everyone on the board reach out to each other! Check in. Ask for help. Lean on each other.
